User Agreement

Welcome to MeetMeTix. This User Agreement ("Agreement") describes the terms on which MeetMeTix offers you access to MeetMeTix.com (our "Site") owned and operated by MeetMePay, Inc. ("MeetMePay").

This Agreement is a contract between you ("you," or "user") and MeetMeTix ("MeetMeTix," "we" or "us" as used in this Agreement, includes MeetMePay, Inc.) and applies to your entire relationship with MeetMeTix and all Services that MeetMeTix provides.

This Agreement is effective on October 1, 2012 for all users. Use of the Site or Services after October 1, 2012 constitutes your acceptance of this Agreement. We may periodically make changes to this Agreement, which will be posted on the Site and effective thirty (30) days following posting for current users or immediately for new users.

Quick Overview of the MeetMeTix Marketplace

1. Introduction

MeetMeTix is a secondary ticketing mobile marketplace that allows fans to buy and sell tickets at prices they agree upon.

1.1 Registration on MeetMeTix. Before using MeetMeTix's Site or Services you must read, agree with, and accept all of the terms and conditions contained in this User Agreement and the terms and policies linked to this Agreement, including but not limited to the MeetMeTix privacy Policy (LINK) Top as well as any other policies communicated to you, whether by email or other methods (the "Additional Policies"). Registrant Requirements (not limited to): You must have a verified mobile phone on file with us including a verified 4 digit PIN. You must have a valid credit card, debit card, and/or checking account on file with us. You must provide a valid email address for registration that will remain on file with us.

1.1 Membership Qualifiers. The Site and services available on the Site are available to registrants who are at least 18 years old, who have properly registered with the Site and whose membership has not been suspended or removed by MeetMeTix for any reason. By registering you represent that you are at least 18 years old. Membership is available only to users who have completed the information required by the Site's registration form. If you do not qualify, you may not use the Site. Membership is void where prohibited by law. MeetMeTix reserves the right to revoke or prohibit your membership for any reason at any time, without notice, but, in particular, upon any violation of any of the terms and conditions in this User Agreement or the Privacy Policy.

1.2 Sale of Tickets. MeetMeTix does not provide any guarantee that your tickets will sell and will not provide any compensation for tickets that do not sell on our Site or through our Services.

1.3 Fees. Registration and listing tickets on the Site is free, but MeetMeTix charges buyers transaction fees (the "Transaction Fees"). Fees will be disclosed to you prior to the finalization of your purchase.

1.4 Conduct You are also responsible for your own conduct and activities on, through or related to MeetMeTix, and, if you create an account on MeetMeTix, you are responsible for all conduct or activities on, through or by use of your account.

1.5 Lawful Use User shall use the Site for lawful purposes only. User shall not post or transmit through the Site any material which: (i) violates or infringes in any way upon the rights of others; (ii) is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane or otherwise objectionable; (iii) encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any law; or (iv) contains advertising or any solicitation with respect to products or services, unless MeetMeTix shall have expressly approved such material in advance of its transmission. Any conduct by a User that in our discretion restricts or inhibits any other User from using or enjoying the Site and its services is expressly prohibited.

1.6 Release. MeetMeTix acts as a marketplace only to bring Buyers and Sellers together to list, sell, and purchase tickets from one another. Sellers set ticket prices and those prices may be higher or lower than the face value of the ticket. In all cases, selling tickets as well as placing and sending tickets that are sold are transactions between Buyers and Sellers. The fulfillment of ticket sales is the joint responsibility of the Buyer and Seller. If you have a dispute with one or more registered users, as a Buyer or Seller, you release MeetMeTix and all affiliated companies, officers, directors, agents, parents, subsidiaries, legal representatives and employees from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such dispute.

1.7 Affiliate "Tickets by Dealer". MeetMeTix offers broker inventory via our affilate partner MyTicketLine.com. MeetMeTix does not own, manage, control, or possess rights to this inventory. 2. Buyer and Seller Responsibilities

By listing, selling, or purchasing tickets using the Site or Services you agree to the terms of this Agreement. You will need verified mobile phone number along with an email address and password to list, sell and purchase tickets using the Site and Services. You are solely responsible for maintaining the security of your mobile phone, email address and password and for all activity that occurs under your mobile phone, email address and password. You should not disclose your password to any other person. You are responsible for ensuring that your contact information, including your email address, mailing address, phone number and Payment Method on file with us is accurate and current.

2.1 Seller Responsibilities. (a) Ticket Information. In Hand. The MeetMeTix marketplace is exclusively for "In Hand" tickets. You agree to provide correct and accurate information about the tickets you list on the Site. You are required to have the tickets in hand that you list to sell on the Site. You are responsible for fulfilling the sale of your tickets with the exact tickets you listed on the site. Piggyback seats.With the exception of "piggyback" seats (seats that are directly behind one another, are in two consecutive rows, and have the same number of seats in each row), you agree and understand that if you are listing more than one ticket for sale, the seats for the tickets you are listing must be together (together means consecutive and adjacent). If you are listing "piggyback" seats then you are required to list these tickets under separate listings. Speculative Tickets. Speculative tickets or 'spec tickets' are tickets that are listed for sale or sold before the seller actually owns the tickets. Listing or selling speculative tickets is not permitted. MeetMeTix reserves the right, in its sole discretion, to remove your listing, cancel a sale, or temporarily or permanently suspend you from using MeetMeTix's Site or Services if it suspects you of listing or selling speculative tickets. (b) Event Cancellations. If an event is cancelled, we will cancel the sale and you will not be paid. If you had already been paid for the sale, we will charge your Payment Method for the amount you received for the original sale. (c) Event Postponement. If an event is postponed or rescheduled, you are not permitted to resell those tickets or in any way invalidate or change a ticket to the postponed or rescheduled event; If you do, you agree that MeetMeTix may charge your Payment Method for any costs MeetMeTix incurs and/or you may be subject to other consequences as further specified in Section 5--Consequences.

2.2 Buyer Responsibilities. When a Buyer places an order by clicking the "Reserve Tix" button, the Buyer is entering into an oral contract with the Seller to purchase the tickets. At the time the order is placed, MeetMeTix obtains an authorization from the Buyer's Payment Method for the price of the tickets, Service Fees, Fees and any taxes when identified (the "Total"). In most cases, the charge for the Total will be applied to the Payment Method within forty-eight (48) hours of placing the order. The Total is remitted to MeetMeTix, and the price paid for the tickets is disbursed to the Seller according to our payment policy. Although an authorization is not a charge, credit card and debit card issuers may place a hold on funds when an authorization is obtained by MeetMeTix. Please contact your financial institution to better understand their policies. In all cases, MeetMeTix is not responsible for any bank fees or other penalties resulting from authorizations and/or charges to the Buyer's credit or debit card when the Buyer places orders.

2.3 Refunds and Exchanges Before purchasing a ticket from a user, carefully review your order. Once an order transacts, it cannot be unwound. All transactions are final.

2.4 Billing Information Verification Orders are processed only after your credit card information has been verified and authenticated. If you submit incorrect credit card account information, that may delay or prevent processing and confirmation of your ticket transaction.

3. Content and User Interaction

3.1 Fraud Protection. You acknowledge that MeetMeTix does not guarantee in any fashion the validity of tickets listing for sale on our site. However, In our effort to protect our Buyers and Sellers we may screen ticket sales or listings for signs of fraud using algorithms or automated systems, which may result in automatic cancellation of sales or listings and temporary or permanent suspension of accounts. If your transaction is cancelled in error, or your account suspended in error, please contact us and we may reinstate your account or listing, in our sole discretion.

3.2 Content MeetMeTix does not control, is not responsible for and makes no representations or warranties with respect to any ticket listings or user content. You are solely responsible for your access to, use of and/or reliance on any user content. You must conduct any necessary, appropriate, prudent or judicious investigation, inquiry, research and due diligence with respect to any user content. You agree to indemnify and hold MeetMeTix and MeetMeTix Representatives harmless from and against any third-party claim, cause of action, demand or damages related to or arising out of: (a) content that you post or transmit (including but not limited to content that a third-party deems defamatory or otherwise harmful or offensive); (b) activity that occurs through or by use of your account (including, without limitation, all content posted or transmitted); (c) your use of or reliance on any user content; and (d) your violation of the User Agreement. This indemnification obligation includes payment of any attorneys' fees and costs incurred by MeetMeTix or MeetMeTix Representatives.

3.3 USER COMMUNICATIONS, TRANSACTIONS, INTERACTIONS, DISPUTES AND RELATIONS MeetMeTix and MeetMeTix Representatives are not parties to, have no involvement or interest in, make no representations or warranties as to, and have no responsibility or liability with respect to any communications, interactions, disputes or any relations whatsoever between you and any other user, person or organization ("your interactions with others"). You must conduct any necessary, appropriate, prudent or judicious investigation, inquiry, research or due diligence with respect to your interactions with others. You agree to indemnify and hold MeetMeTix and MeetMeTix Representatives harmless from and against any third-party claim, cause of action, demand or damages related to or arising out of your interactions with others. This indemnification obligation includes payment of any attorneys' fees and costs incurred by MeetMeTix or MeetMeTix Representatives.

4. Things Prohibited

If you engage in any activity set forth in this Section 4, you may be subject to any and all of the Consequences set forth in Section 5, in MeetMeTix's sole discretion.

4.1 Offline Transactions. MeetMeTix is not responsible for any damages or lost profits that result from MeetMeTix user transactions conducted outside of MeetMeTix, including transactions that originate at MeetMeTix and are taken offline, or transactions facilitated through the use of any MeetMeTix social media outlet or other off Site communication.

4.2 Inappropriate Behavior. You agree not to use abusive language or behave in an abusive manner to any MeetMeTix employee or user. You also agree to behave appropriately and in compliance with venue standards of conduct at events for where you have purchased tickets from other users of the MeetMeTix marketplace.

4.3 Illegal Activity. You agree not to use this Site or the Services for unlawful purposes or in an unlawful manner. You agree to comply with all applicable local, state, federal and international laws, statutes and regulations regarding use of the Site and Services and the listing, selling, buying, and use of tickets. You agree to pay any and all local, state, federal, or international taxes that may be due. You agree not to use or permit anyone to use information provided through the Site or our Services for any unlawful or unauthorized purpose. You agree not to register under a false name or use an invalid or unauthorized Payment Method. You agree not to copy, modify, or distribute any content from the Site, including MeetMeTix's copyrights and trademarks, and/or link to the Site without MeetMeTix's prior written permission.

4.4 Double Posting and Removal of Tickets. To post a ticket for sale on the Site you must first register with the Site. Once a ticket is posted, we strongly discourage posting that ticket for sale elsewhere. If you do post your ticket for sale elsewhere and the ticket sells elsewhere or otherwise leaves your control after you list it, you must then remove your ticket listing from MeetMeTix.

4.5 Stolen Property. The sale of stolen property on MeetMeTix is strictly forbidden and violates state, federal and international law. MeetMeTix strongly supports law enforcement efforts to recover stolen property that is listed on the Site, and urges the prosecution of those responsible for knowingly attempting to sell such items on MeetMeTix. Stolen property includes items taken from private individuals, as well as property taken without authorization from companies or governments.

4.6 Misrepresentation of Tickets. You must accurately answer all questions asked during the listing for sale process. You must not withhold any relevant information, whether or not we request it. Inaccurate presentation of ticket possession status, seat locations, quantity, quality, or other information is not allowed.

5. Repercussions and Consequences

5.1 Investigations. We may investigate complaints and violations of our policies. You agree to cooperate fully with such investigations, including without limitation, providing us specific information regarding your right to a ticket, the source of a ticket, your acquisition of a ticket, and the price you paid for a ticket.

5.2 Violations, Termination and Suspension. We may take any action that we deem appropriate in our sole discretion (including without limitation issuing a warning, temporarily or permanently suspending you from using the Site or Services, denying access, removing a listing or recommending you edit a listing) if: (a) you breach this Agreement or any policy it incorporates by reference; (b) you are unwilling to cooperate with our investigation of a complaint or reported violation; (c) we are unable to verify or authenticate any information you provide; (d) you engage in an activity set forth in Section 4 of this Agreement; or (e) we believe your conduct may cause legal liability for you, for other users, or for MeetMeTix. You agree that payments owing to you for sales made through this Site or through use of our Services may be suspended or delayed pending our investigation. MeetMeTix is not obligated to pay you for any sales if we have a good faith basis to believe such sales were unlawful, in bad faith, or otherwise made in violation of this Agreement.

5.3 Disclosure of Information. You agree that MeetMeTix may report any activity that it suspects violates any law or regulation to appropriate law enforcement officials, regulators, or other relevant third parties. MeetMeTix will cooperate to ensure that violators are prosecuted to the fullest extent of the law. MeetMeTix will also respond to all inquiries initiated by governmental agencies or as otherwise legally compelled.

5.4 Making Adjustments. If (a) a sale is cancelled for any reason; (b) you engage in an activity set forth in section 4 of this Agreement; (c) we reasonably believe that you have committed fraud or other illegal act or omission during any buying or selling activity; (d) you provide incorrect, misrepresented, invalid, fraudulent or counterfeit tickets for any sale or portion of a sale; (f) you resell, invalidate or change a ticket to a postponed event as set forth in section 2.1(d); or (g) you otherwise owe MeetMeTix a specific amount, then you authorize MeetMeTix to withhold payment or charge your Payment Method any amount you owe us and all reasonable costs MeetMeTix incurs due to your conduct, including but not limited to, the cost of replacement tickets, refunds, and other costs required to compensate the Buyer or Seller for his or her bad experience. We may also first deduct any amount you owe us from any amount we owe you. Closing of accounts or opening and maintaining more than one account does not alter your total liability to us, and we may combine amounts due to us from multiple accounts.

6. Your Relationship with Us

6.1 General. No agency, partnership, joint venture, employer-employee or franchisor-franchisee relationship is intended or created by this Agreement.

6.2 Privacy. In response to requests by federal, state or local authorities, including tax authorities, subpoenas, court orders, or other legal process, we may disclose information about transactions on MeetMeTix, including but not limited to, information regarding the identity of buyers and sellers. We may also monitor and make a record of your use of our Site or Services and any other communications between you and MeetMeTix and may use the resulting information for internal purposes or as may be required by applicable law. If you object to your information being transferred or used in this way, please do not use the Site or our Services.

6.3 Recording Calls. You understand and agree that MeetMeTix may, without further notice or warning and in its sole discretion, monitor or record telephone conversations you or anyone acting on your behalf has with MeetMeTix or its agents for quality control and training purposes and for its own protection. You acknowledge and understand that, while your communications with MeetMeTix may be overheard, monitored, or recorded without further notice or warning, not all telephone lines or calls may be recorded by MeetMeTix, and MeetMeTix does not guarantee that recordings of any particular telephone calls will be retained or retrievable.

7. Changes in Terms and Conditions

MeetMeTix has the right to change or discontinue any aspect or feature of the Site, including, but not limited to, content, hours of availability, and equipment needed for access or use, at any time. We have the right to change or modify the Terms and Conditions applicable to User's use of the Site, or any part thereof, or to impose new conditions, including, but not limited to, adding fees and charges for use, at any time. Such changes, modifications, additions or deletions shall be effective immediately upon notice thereof, which may be given by means including, but not limited to, posting on the Site, or by electronic or conventional mail, or by any other means by which User obtains notice thereof. Any use of the Site by User subsequent to such notice shall be deemed to constitute acceptance by User of such changes, modifications or additions.

7.1 Mobile Communications. When you visit the Site or send text messages to us, you are communicating with us via mobile. You consent to receive communications from us via mobile. We will communicate with you via SMS or by posting notices on this Site. You agree that all agreements, notices, disclosures and other communications that we provide to you via SMS satisfy any legal requirement that such communications be in writing. You acknowledge that standard text message and data rates may apply.

7.3 Electronic Communications. When you visit the Site or send email to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by email or by posting notices on this Site. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

7.5 Copyright Policy. All content included on this Site, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations and software, is the property of MeetMeTix or its content suppliers and protected by United States and international copyright laws. The compilation of all content on this Site is the exclusive property of MeetMeTix and protected by U.S. and international copyright laws. All software used on this Site is the property of MeetMeTix or its software suppliers and protected by United States and international copyright laws.

8 Disclaimers and Limitation of Liability

THIS SITE IS PROVIDED BY MEETMETIX ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THIS SITE OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON THIS SITE. USER SHALL BE RESPONSIBLE FOR PROTECTING THE CONFIDENTIALITY OF USERS' PASSWORD (IF ANY). USER EXPRESSLY AGREES THAT USE OF THIS SITE IS AT USER'S SOLE RISK. TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, MEETMETIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. MEETMETIX DOES NOT WARRANT THAT THIS SITE, ITS SERVERS OR EMAIL SENT FROM THE SITE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. IN NO EVENT WILL MEETMETIX, OR ANY PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING, POSTING OR DISTRIBUTING MEETMETIX CONTENT BE LIABLE FOR DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THE SITE. USER HEREBY ACKNOWLEDGES THAT THE PROVISIONS OF THIS SECTION SHALL APPLY TO ALL CONTENT ON THIS SITE. NEITHER MEETMETIX, NOR ANY THIRD PARTIES PROVIDING CONTENT OR SERVICES SHALL BE LIABLE REGARDLESS OF THE CAUSE OR DURATION, FOR ANY ERRORS, INACCURACIES, OMISSIONS OR OTHER DEFECTS IN, OR UNTIMELINESS OR UNAUTHENTICITY OF, THE INFORMATION CONTAINED ON THIS SITE, OR FOR ANY DELAY OR INTERRUPTION IN THE TRANSMISSION THEREOF TO THE USER, OR FOR ANY CLAIMS OR LOSSES ARISING FROM THIS. NONE OF THE FOREGOING PARTIES SHALL BE LIABLE FOR ANY THIRD-PARTY CLAIMS OR LOSSES OF ANY NATURE, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, PUNITIVE OR CONSEQUENTIAL DAMAGES.

9. Indemnification

User agrees to indemnify and hold MeetMeTix, MeetMePay, Inc., its affiliates, officers, shareholders, agents and other partners and employees harmless from any loss, liability, claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of User's use of the Site, including use of the Site to provide a link to another site or to upload content or other information to the Site.

9.2 Tax Indemnity. You agree that MeetMeTix is not responsible in any way for the accuracy or suitability of any payment of taxes to any entity on your behalf. You shall indemnify and hold MeetMeTix and (if applicable) any parents, subsidiaries, affiliates, officers, directors, agents and employees harmless against all liabilities, costs, interest and expenses (including reasonable attorneys' fees) incurred by MeetMeTix that arise out of any third party or governmental claim that involves, relates to or concerns any federal, state, county, city, or other tax obligation or amounts due or owing under any tax regulation, law, order or decree. You agree to provide MeetMeTix with your Social Security Number or tax ID if necessary for MeetMeTix to provide information to the Internal Revenue Service related to payments you receive from us and further authorize MeetMeTix to release that information to the IRS or other competent governmental body.

10. Disputes

If there is any dispute about or involving the Site, by using the Site, User agrees that the dispute will be governed by the laws of the State of Texas without regard to its conflict of law provisions. User agrees to personal jurisdiction by and venue in the state and federal courts of the State of Texas, Travis County.
